What is a contract variation agreement?
A contract variation agreement (sometimes called an agreement to amend contract) is a legal document that modifies one or more terms of an existing contract between individuals, businesses and companies operating in the UK. The contract amendment helps to record contractual changes instead of rewriting the entire agreement. Contract amendment in the UK shall be done in writing and only upon mutual consent of all parties involved.

Residential Tenancy Agreements in England and Wales
Considering recent major changes affecting residential tenancies in England and Wales introduced by the Renters’ Rights Act 2025, the parties should be aware of the following:
- No fixed-term tenancies. The landlords can no longer insist on amending the ongoing assured tenancy to become a fixed-term tenancy. Failure to follow these limitations will result not only in amendments being void but also in paying a civil penalty of up to £7,000.
- No uncontrolled increase of rent. An increase in a rent amount cannot be made more than one time per year. Any further rent review will not have any legal effect. On top of that, spontaneous increase is also not possible. Landlords shall follow a statutory process first by notifying their tenants at least 2 months in advance about the intention to increase the rent.
Residential Tenancy Agreements in Scotland
Any changes done to private residential tenancies in Scotland shall be made in writing. Any increase of rent should be communicated well-in advance using the statutory requirements provided by the Private Housing (Tenancies) (Scotland) Act 2016.
Residential Tenancy Agreements in Northern Ireland
In Northern Ireland, private residential tenancies are governed primarily by the Private Tenancies (Northern Ireland) Order 2006. Key points:
- Landlords must give tenants a written statement of tenancy terms. Any changes to those terms must be documented in writing.
- Rent increases require notice to the tenant. Northern Ireland does not currently have the same restrictions on frequency of rent increases as England and Scotland, but landlords should check current guidance from the Housing Executive (NIHE), as this area of law is subject to ongoing development.
Employment Contracts
To create an employment contract variation template, parties should be aware of the following important legal restrictions at play in the UK:
- Consent is required. An employer cannot unilaterally impose a change to an employment contract. Any amendment shall be agreed in writing by both parties. Flexibility clauses are allowed only when it comes to changing technical details of the contract that do not directly affect the employee’s rights, benefits, entitlements or obligations. For example, contact information of the employer, registered business details, mailing address of an employee, etc.
- Written Amendment. Under Section 1 of the Employment Rights Act 1996, any changes to an ongoing worker’s or employee’s contract shall be made in writing as a separate written statement attached to the original contract. Oral amendment of the employment contact is not acceptable.
- No variation can contract out of statutory rights. A contract variation cannot lawfully reduce or remove an employee’s statutory employment rights and cannot be made even if both parties agree to it in writing. For example, an employee’s salary cannot be lower than the National Minimum Wage, statutory sick pay cannot be decreased, working hours cannot be increased, maternity or paternity leave cannot be cancelled, etc. Any compromise of the minimum employee’s contractual rights automatically shall lead to such a clause being void.

1. Can a contract be varied verbally in the UK?
In some circumstances, yes — an oral agreement can technically vary a contract under English law.
While oral amendment of written contracts is not directly prohibited under English law, the court practice established by the UK Supreme Court follows the following approach – if the contract is executed in writing, then any modification should be made in writing as well.

Yes. A variation to a contract requires the consent of all parties. 7. Does a contract variation need to be witnessed?
For a standard variation agreement, witnessing is not legally required, which means that the document shall be signed by both parties only.
However, when the original contract was executed as a deed, any contract variation agreement shall be executed as a deed. When the variation contract in the UK is being executed as a deed, parties must sign it in the presence of witnesses. Each witness shall be an individual of at least 18 years old and of sound mind. The most important thing is that the witness cannot be either party to the original agreement.
