The Grantor needs this right to ensure the accuracy of royalty payments and to verify that the Grantee is complying with the financial and reporting obligations set forth in the agreement.
Usually the Grantor is allowed to make such an audit one or two times per year.
The Grantor shall conduct any audit during the Grantee’s regular business hours and in a manner that does not unreasonably interfere with the Grantee’s operations.
