    – Reproductions;
    – Distribution;

    The text of a license agreement should clearly define how exactly the licensor allows the licensee to use the copyrighted work.

  • The licensee obtains the following license to use the copyrighted work:

    !

    The licensor under the copyright license agreement can issue two different types of licenses:

    Exclusive license: Only the licensee has the rights to use the copyrighted work. The licensor cannot use the copyright work and cannot license the same work to others.
    Non-exclusive license: The licensee can use the copyright work. The Licensor can also use it and license it to third parties.

  • Specify the geographic area (e.g., city, state, country) where the Licensee is authorized to use the copyrighted work:

    !

    Territory limitation in a copyright license agreement defines the specific geographic area (such as a country or region) where the licensee is allowed to use the copyrighted work.

    Usage of the copyrighted work by the licensee outside the agreed territory is a material breach of a contract and is strictly prohibited.

  • Does the licensee have a right to sublicense the copyrighted work to third parties?

    !

    Sublicensing is the licensee’s right to grant some or all of their rights to use a copyrighted work to a third party.

    For example, the licensee receives the right to make a translation of a licensor’s book into the Spanish language and its further publication within Australia. The licensee decides to transfer the right to publish a licensor’s book in Spanish to a third party. Such a transfer is considered a sub-license, and the text of a copyright license agreement shall clearly outline if the sublicensing is allowed or not.
